General Terms and Conditions (GTC) – Patronen.ch GmbH
1. Scope and Application
Patronen.ch is a project of Patronen.ch GmbH. These General Terms and Conditions (hereinafter referred to as "GTC") govern the rights and obligations between Patronen.ch GmbH and its customers. They apply to all business relationships unless otherwise agreed in writing. Any terms and conditions of the customer shall only apply if expressly accepted in writing by Patronen.ch GmbH. Should any provision of these GTC be invalid or unenforceable, the remaining provisions shall remain unaffected. Patronen.ch GmbH reserves the right to amend or supplement these GTC at any time.
2. Orders and Delivery
By placing an order, the customer accepts these GTC. A contract is concluded upon acceptance by Patronen.ch GmbH, at the latest upon delivery of the goods. Contract conclusion and delivery are subject to a positive credit assessment and the availability of the ordered products. Delivery dates are indicative only unless expressly confirmed in writing. Patronen.ch GmbH may cancel orders in the event of delivery disruptions beyond its control. Partial deliveries are permitted. Packaging and shipping costs may be charged separately.
3. Inspection and Transfer of Risk
The customer is required to inspect the delivered products immediately upon receipt for completeness and correctness. Any damage, defects, or complaints must be reported in writing within five working days. Risk passes to the customer upon handover of the products to the carrier.
4. Prices
Sales prices are generally quoted gross, including applicable VAT. Shipping, packaging, and any additional charges are shown separately during the ordering process and charged additionally unless expressly stated otherwise. Prices are subject to change without prior notice.
5. Payment Terms
Unless otherwise agreed in writing, invoices are payable net within 14 days. Upon expiry of this period, the customer shall be deemed in default without further notice. Patronen.ch GmbH may charge default interest of 10% per annum. All outstanding claims become immediately due upon default.
6. Retention of Title
The delivered products remain the property of Patronen.ch GmbH until full payment has been received. Patronen.ch GmbH is entitled to register a retention of title in accordance with Article 715 of the Swiss Civil Code.
7. Returns
The return of products requires the prior approval of Patronen.ch GmbH and is carried out at the customer's expense and risk. Returns are accepted only within 14 days from the invoice date. Products must be returned in their original packaging and accompanied by a detailed description of the defect and proof of purchase.
Products submitted for warranty inspection are additionally subject to the provisions set out in Section 8.
8. Warranty
The warranty is governed exclusively by the warranty conditions of the respective manufacturer or supplier. The customer waives any further warranty claims against Patronen.ch GmbH.
The warranty does not cover damage resulting from improper storage, failure to follow operating instructions, normal wear and tear, improper handling or use, mechanical damage, drops or impacts, liquid ingress, moisture, power surges, improper installation, unauthorized interventions, repair attempts by unauthorized persons, force majeure, or any other causes beyond the control of Patronen.ch GmbH.
Warranty claims must be reported immediately upon discovery of the defect. The affected product must be submitted together with a detailed defect description and proof of purchase.
Products returned for inspection will undergo a technical assessment. If no warranty claim is found or if the defect results from a cause excluded from warranty coverage, Patronen.ch GmbH reserves the right to charge inspection, handling, shipping, and return costs.
The inspection and handling fee amounts to CHF 59.00 excluding VAT per submitted product. In cases involving exceptional inspection effort, the actual costs incurred may be charged.
By submitting a product for warranty inspection, the customer agrees to these conditions.
9. Liability
Patronen.ch GmbH shall only be liable for direct damages caused by proven gross negligence. Liability is limited to the value of the respective delivery or service. Any further liability, in particular for indirect damages, consequential damages, or loss of profit, is excluded.
10. Patents and Other Intellectual Property Rights
If a third party asserts claims due to infringement of patents, copyrights, or other intellectual property rights, the customer shall immediately inform Patronen.ch GmbH in writing.
11. Data Protection
Patronen.ch GmbH complies with the provisions of Swiss data protection legislation. Customer data is processed only to the extent necessary for contract performance or contractual obligations towards manufacturers and suppliers. The current Privacy Policy forms an integral part of these GTC.
12. Applicable Law and Jurisdiction
All contracts and these GTC shall be governed exclusively by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction shall be Basel-Stadt, Switzerland, unless mandatory statutory provisions provide otherwise.
